1. Who these terms are between

These terms are an agreement between you (and the business you act for) and [LEGAL ENTITY], trading as ctrlPlanner ("we", "us"). By creating an account or using ctrlPlanner you accept them. If you are accepting on behalf of a company, you confirm you are authorised to do so.

2. What ctrlPlanner is

ctrlPlanner is authoring software for control plans and AS9102 first article inspection reports. It runs in your browser. It calculates tolerance walk-back through your operations and produces printable control plans, ballooned prints and AS9102 Forms 1, 2 and 3.

ctrlPlanner is a tool. It is not an inspection service, a certification body, or a substitute for your own quality system. You remain responsible for the correctness of every plan, dimension, tolerance and inspection record you produce with it, and for its acceptability to your customers and auditors. Verify calculated values before releasing a plan to production.

3. Your data belongs to you

Your control plans, drawings, characteristics, operations, annotations and inspection records are yours. We claim no ownership of them and no licence to use them.

They are also not held by us. ctrlPlanner stores plan content in files on your own computer, in an open ".cplan.zip" format: a standard ZIP archive containing your plan as readable JSON and your drawings as ordinary image files, with a plain-text README explaining the format. You can open, read, archive and migrate that content without ctrlPlanner and without our permission.

What we do store is described in the Privacy Policy: your account email, your shop name, your settings and library, and your subscription state. Not plan content.

4. Subscriptions, trials and billing

New accounts get a 30-day free trial. Payment details are collected when the trial starts, and the first charge is taken at the end of the trial unless you cancel before then. Subscriptions renew automatically — monthly or annually, as chosen — until cancelled.

Prices are shown on the pricing page and are exclusive of any applicable sales tax, which is calculated at checkout. We may change prices with at least 30 days' notice by email; a change takes effect at your next renewal, and you may cancel before it applies.

Payments are processed by Stripe. We do not see or store your card details. You can cancel, change plan or update your card at any time from the billing portal linked in your account.

5. What happens if your subscription ends

This clause is a commitment, not a courtesy. If you cancel, or a payment fails and is not resolved, ctrlPlanner does not lock you out. It becomes read-only.

This exists so that a shop can reproduce a controlled record for a customer or an auditor whether or not it is still a customer of ours. We will not remove that ability from a released version of the software.

Access continues to the end of any period you have already paid for. We do not pro-rate a cancellation mid-period.

6. Acceptable use

You agree not to resell or sublicense ctrlPlanner, to circumvent or attempt to circumvent its licensing, to reverse engineer it except where that right cannot lawfully be excluded, or to use it to build a competing product. One subscription covers one shop or business location; contact us if you operate several.

7. Availability

Because ctrlPlanner runs in your browser and your plans live on your own computer, it keeps working when our servers do not — including with no internet connection at all, for a period. Account, licence and billing functions do depend on our services and on Stripe, and we do not promise those will be uninterrupted. We do not offer a service level agreement at this tier.

8. Warranty and liability

ctrlPlanner is provided "as is". To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, our total liability arising out of or relating to these terms or the software is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits, scrap, rework, delay, or the cost of a nonconformance.

Nothing in these terms limits liability that cannot lawfully be limited.

9. Changes

We may update these terms. Material changes will be notified by email to the address on your account at least 30 days before they take effect. Continuing to use ctrlPlanner after that means you accept them.

10. Termination

You may cancel at any time from the billing portal. We may suspend or terminate an account for a material breach of these terms, or for non-payment, having given you notice and a reasonable chance to fix it. On termination, clause 5 applies: the software becomes read-only and your files remain yours.

11. Governing law

These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute.
